Website Terms of Use

These Terms of Use govern your access to and use of this public marketing website. They do not govern the GracePoint Platform, which is covered by separate executed agreements.

1. About These Terms

These Website Terms of Use (“Terms”) govern your access to and use of the public website at www.gracepoint-solutions.com (the “Site”), operated by GracePoint Solutions, Inc., a Delaware corporation (“GracePoint,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1.1 What These Terms Do Not Cover

These Terms do not govern the GracePoint Platform. The Platform is a separate, access-controlled service available only to organizations that have entered into a written agreement with GracePoint and to the users those organizations authorize. Access to and use of the Platform is governed exclusively by the applicable executed agreement — the GracePoint POD Agreement, the GracePoint POD Circle Add-On Agreement, the Enterprise Warehouse Master Subscription Agreement and its Exhibits, or the Donor Portal Terms of Use, as applicable — together with the GracePoint Acceptable Use Policy.

In the event of any conflict between these Terms and any executed GracePoint agreement, the executed agreement controls. Nothing in these Terms modifies, limits, or supplements any executed agreement, and nothing in these Terms creates any right to access the Platform.

1.2 Privacy

Our collection and use of information is described in the GracePoint Privacy Policy, available at https://gracepoint-solutions.com/privacy-policy/. The Privacy Policy covers both the Site and the Platform and distinguishes between them.

1.3 Changes to These Terms

We may update these Terms from time to time. The current version is always posted on the Site with its effective date. Changes take effect when posted, and your continued use of the Site after that time constitutes acceptance. If you do not agree to a change, your remedy is to stop using the Site.


2. What the Site Is

The Site is an informational and marketing website. It describes GracePoint’s products and services and provides a means for interested organizations to contact us.

The Site does not provide the Platform. No charitable, warehouse, distribution, fundraising, or emergency-management functionality is available through the Site.

2.1 Product Information Is Descriptive

Information on the Site describing GracePoint’s products, capabilities, features, or services is provided for general informational purposes only. It is not a representation, warranty, commitment, or offer, and it does not modify or supplement any executed agreement.

Product capabilities and individual features may change over time. The specific services GracePoint provides to any organization are set forth exclusively in that organization’s executed agreement and any applicable Order Form. Nothing on the Site entitles any person or organization to any particular feature, functionality, capability, or version of the Platform.

2.2 Contact and Inquiry Forms

The Site includes forms through which you may request information, request a demonstration, or contact support.

Submitting a form does not create any agreement, commitment, or relationship between you and GracePoint, does not obligate GracePoint to provide any product or service, and does not entitle you to Platform access. Any commercial relationship with GracePoint arises only upon execution of a written agreement or acceptance of an applicable click-through agreement.

You agree that information you submit through a form is accurate, that you have authority to submit it, and that you will not submit another person’s personal information without their permission.

2.3 No Professional Advice

Nothing on the Site constitutes legal, tax, accounting, appraisal, regulatory, or compliance advice. GracePoint is not a law firm, an accounting firm, an appraiser, a tax adviser, or a compliance consultant. Content on the Site addressing charitable operations, gift-in-kind valuation, donor engagement, regulatory obligations, or emergency management is general in nature, may not apply to your circumstances, and is not a substitute for advice from qualified professionals. You are solely responsible for your own compliance obligations and for obtaining your own professional advice.


3. Intellectual Property

3.1 GracePoint’s Rights

The Site and all content on it — including text, graphics, images, layout, design, logos, trademarks, service marks, trade names, video, audio, and software — are owned by GracePoint or its licensors and are protected by copyright, trademark, and other intellectual property laws.

“GracePoint,” “GracePoint Solutions,” and associated logos and marks are trademarks of GracePoint Solutions, Inc. Other marks appearing on the Site are the property of their respective owners.

3.2 Your Limited License

Subject to these Terms, GracePoint grants you a limited, non-exclusive, non-transferable, revocable license to access the Site and to view, download, and print Site content for your own informational and internal business purposes.

You must keep all copyright and proprietary notices intact on any material you download or print.

3.3 Restrictions

You may not:

(a) modify, adapt, translate, or create derivative works from Site content;

(b) republish, redistribute, sell, license, sublicense, rent, or lease Site content;

(c) remove, obscure, or alter any copyright, trademark, or proprietary notice;

(d) use any GracePoint trademark, logo, or trade name without our prior written consent;

(e) use the Site or its content to develop, market, or operate a competing product or service, or for competitive analysis or benchmarking, without our prior written consent;

(f) use any automated means — including robots, spiders, scrapers, or data-mining tools — to access, monitor, copy, or extract Site content, except for standard search-engine indexing;

(g) attempt to gain unauthorized access to the Site, to any GracePoint system or network, or to the Platform;

(h) interfere with or disrupt the Site, including by transmitting malicious code, or by imposing an unreasonable load on our infrastructure; or

(i) use the Site for any unlawful purpose or in violation of these Terms.

The Platform’s own reverse engineering prohibition is set forth in each executed agreement governing the Platform; this Section governs the Site only.


4. Material You Submit

This Section applies to material you voluntarily submit to GracePoint through the Site — for example, a message in a contact form, feedback about our products, or content you provide for a testimonial or case study at our request.

It does not apply to any Platform content. Recipient submissions, Stories of Impact, Customer Data, Donor Data, and all other Platform content are governed exclusively by the applicable executed agreement and are expressly excluded from this Section.

4.1 Your Representations

By submitting material, you represent that you own it or have all necessary rights and permissions to submit it, and that it does not infringe any third party’s rights, violate any law, or disclose any personal information of another individual without that individual’s permission.

4.2 Limited License to GracePoint

(a) Feedback. If you provide suggestions, enhancement requests, or other feedback about GracePoint’s products or services, GracePoint may use and incorporate that feedback without restriction, attribution, or obligation. You retain no rights in any resulting functionality.

(b) Testimonials and case study material. If you provide a testimonial, quotation, case study material, or similar content at GracePoint’s request and with your consent to its use, you grant GracePoint a non-exclusive, worldwide, royalty-free license to reproduce, display, and distribute that material in GracePoint’s marketing and promotional materials. This license is limited to that purpose. You may withdraw it at any time by written notice to support@gracepoint-solutions.com, and GracePoint will cease further use within a reasonable period, though GracePoint is not required to recall materials already distributed.

(c) No other license. GracePoint claims no ownership of material you submit and acquires no right to sell, license, sublicense, or commercially exploit it, and no perpetual or irrevocable rights of any kind, except as expressly stated in subsections (a) and (b).

4.3 Please Do Not Submit Confidential or Personal Information

Contact forms are not a secure channel. Do not submit confidential information, sensitive personal information, information about aid recipients, or any third party’s personal information through the Site. If you need to share sensitive information with us, contact support@gracepoint-solutions.com and we will arrange an appropriate method.


5. SMS Messaging Program

This Section applies only if you affirmatively opt in to receive text messages from GracePoint.

5.1 Program Description

GracePoint operates an SMS messaging program through which GracePoint may send marketing and promotional messages about GracePoint’s products and services to individuals who have expressly consented to receive them. Messages may include product announcements, event and webinar invitations, and follow-up regarding an inquiry you submitted.

Where you have consented to receive them, this program also includes marketing telephone calls, which may be automated, pre-recorded, or use an AI voice.

This is a marketing program. It is not an appointment-reminder, order-notification, or two-factor-authentication service.

Text messages are sent only to individuals who have expressly opted in. You are never required to consent to text messages in order to obtain any GracePoint product, service, or information — consent is not a condition of purchase or of any other benefit.

How to opt in: You may opt in by checking either of the text-message consent checkboxes on the Contact Us form on the Site. One of those checkboxes also covers marketing telephone calls, which may be automated, pre-recorded, or use an AI voice; the disclosure adjacent to each checkbox states what that checkbox covers. Each checkbox is unchecked by default, is separate and unbundled from submission of the form itself, and consent is never required in order to submit the form, receive a response, or obtain any GracePoint product, service, or information.

GracePoint sends text messages only to individuals who have opted in through a Contact Us form consent checkbox. GracePoint does not send text messages to telephone numbers obtained from any other source.

GracePoint maintains timestamped records of all opt-in and opt-out actions.

5.3 Opting Out

You may opt out at any time by replying STOP to any message. You will receive a single confirmation message, and no further marketing text messages will be sent unless you opt in again.

Opting out of text messages does not affect email you have separately subscribed to, and does not affect any communication GracePoint sends in connection with an organization’s use of the Platform.

5.5 Message Frequency, Rates, and Carriers

Message frequency: Up to 4 messages per month.

Message and data rates may apply. Rates are set by your wireless carrier, not by GracePoint. Contact your carrier with questions about your plan.

Carriers are not liable for delayed or undelivered messages.

Our program is supported by major U.S. wireless carriers, including AT&T, Verizon, T-Mobile, and most regional carriers.

5.6 Age Requirement

You must be 18 years of age or older to participate in the SMS program.

5.7 Mobile Information Sharing

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing with subcontractors that provide support services to GracePoint, such as customer service and message delivery, is permitted. All other use-case categories exclude text messaging originator opt-in data and consent, and that information will not be shared with any third party.

5.8 Telephone Calls

Where you have consented to receive them, GracePoint may place marketing telephone calls to the number you provided, which may be automated, pre-recorded, or use an AI voice. Consent to marketing telephone calls is captured together with consent to marketing text messages in one of the Contact Us form consent checkboxes. You may withdraw that consent at any time by contacting support@gracepoint-solutions.com or by telling the caller. GracePoint maintains an internal do-not-call list and honors withdrawal requests promptly.


The Site may link to websites operated by third parties. GracePoint does not control those sites, does not endorse them, and is not responsible for their content, products, services, or privacy practices. Links are provided for convenience only. Your dealings with any third party are solely between you and that third party.


7. Site Availability

The Site is provided on an “as is” and “as available” basis. GracePoint does not guarantee that the Site will be available, uninterrupted, timely, secure, or error-free, and may modify, suspend, or discontinue the Site or any part of it at any time without notice or liability.


8. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. GracePoint disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

GracePoint does not warrant that Site content is accurate, complete, current, or free of error, or that the Site is free of viruses or other harmful components.

No advice or information obtained from the Site creates any warranty not expressly stated in these Terms.


9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRACEPOINT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE SITE, whether based in contract, tort, strict liability, or any other theory, and whether or not GracePoint has been advised of the possibility of such damages.

GRACEPOINT’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, GracePoint’s liability is limited to the maximum extent permitted by law.

This Section does not limit GracePoint’s obligations or liability under any executed agreement, which are governed by that agreement.


10. Indemnification

You agree to indemnify, defend, and hold harmless GracePoint and its officers, directors, employees, and agents from and against any claim, liability, damage, loss, cost, or expense (including reasonable attorneys’ fees) arising from your use of the Site in violation of these Terms, your violation of applicable law, or your infringement of any third party’s rights.


11. Termination of Access

GracePoint may restrict, suspend, or terminate your access to the Site at any time, with or without notice, for any reason, including a violation of these Terms. Sections 3, 4, 8, 9, 10, 12, and 13 survive any termination.


12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of those courts. This Section does not apply to and does not modify the dispute resolution provisions of any executed GracePoint agreement (including the arbitration provisions of the POD Agreement, POD Circle Feature Agreement, and Enterprise Warehouse Master Subscription Agreement), which govern disputes arising under those agreements.


13. General

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and GracePoint regarding the Site, and supersede any prior understanding regarding the Site. They do not supersede, modify, or limit any executed GracePoint agreement.

Severability. If any provision is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions remain in full force.

No waiver. GracePoint’s failure to enforce any provision is not a waiver of that provision.

Assignment. You may not assign these Terms. GracePoint may assign them without restriction.

No third-party beneficiaries. These Terms create no rights in any third party.
