Acceptable Use Policy

This Acceptable Use Policy sets the conduct rules for all use of the GracePoint Platform. It is incorporated by reference into every GracePoint agreement.

1. Scope — Who This Applies To

This AUP applies to every organization and individual who accesses the GracePoint Platform, under every GracePoint product and agreement:

This AUP is incorporated by reference into each of the agreements above and supplements the use restrictions in each agreement; it does not replace or limit them. Where an agreement contains a more specific restriction, that provision continues to apply in full, and in the event of a conflict, the executed agreement controls. By accessing or using the Platform, you agree to this AUP.

The Donor Portal is not covered by this AUP. Donor Portal Users are not GracePoint commercial clients and are governed solely by the Donor Portal Terms of Use, which contains its own conduct provisions. Donors do not access the POD Marketplace, POD Circle, or Fundraising capabilities, so the substantive provisions of this AUP have no application to them.

You are responsible for your Authorized Users. Each organization is responsible for its Authorized Users’ compliance with this AUP, and for any use of the Platform through its account.

2. General Conduct

You may not use the Platform to:

  • Violate any applicable law, regulation, or legal obligation;
  • Infringe or misappropriate any third party’s intellectual property, privacy, publicity, or other rights;
  • Transmit or post content that is unlawful, fraudulent, deceptive, abusive, harassing, threatening, defamatory, obscene, hateful, or that promotes violence or discrimination;
  • Impersonate any person or organization, or misrepresent your affiliation with any person or organization;
  • Misrepresent your organization’s identity, legal status, charitable or tax-exempt status, registrations, or authority;
  • Interfere with any other participant’s use of the Platform;
  • Engage in any activity that is harmful to Recipients, Donors, or other participants; or
  • Facilitate or encourage any of the above by any third party.

3. Communications and Messaging

The Platform includes a Marketplace messaging tool enabling one organization to communicate with one other organization to coordinate delivery of posted Gifts-in-Kind (“GIK”).

You may not use messaging to:

  • Transmit content prohibited by Section 2;
  • Send unsolicited commercial messages, solicitations, advertising, or bulk messages;
  • Solicit donations, funds, or payments from another participant;
  • Harass, threaten, intimidate, or repeatedly contact a participant who has asked you to stop;
  • Transmit malware, links to malicious content, or phishing attempts;
  • Attempt to move a participant off-Platform for the purpose of circumventing this AUP or your agreement; or
  • Use messaging for any purpose other than coordinating the delivery of posted GIK.

Do not transmit Recipient personal information through messaging. Messaging is for coordinating GIK delivery. It is not an appropriate channel for information about the individuals who receive aid. You are solely responsible for any Recipient personal information you transmit.

Messaging is text-only. Do not attempt to circumvent this limitation.

4. POD Marketplace

You may not:

  • Post listings or requests that are false, misleading, or that you do not intend to honor;
  • Misrepresent the quantity, condition, category, or availability of any GIK;
  • Post GIK you do not have the right to transfer;
  • Post items that are unlawful to transfer, recalled, expired, adulterated, or unsafe;
  • Use the Marketplace to sell, barter, or exchange goods for consideration, or for any commercial purpose inconsistent with charitable distribution;
  • Scrape, harvest, index, or systematically collect Marketplace listings, participant identities, or participant contact information;
  • Use Marketplace information for any purpose other than coordinating a GIK transaction; or
  • Misuse or misrepresent the meaning of any verification indicator displayed on the Marketplace.

About the “Verified for Stripe Donations” indicator. That indicator reflects only that an organization completed Stripe’s verification to accept charitable monetary donations. GracePoint displays Stripe’s status and does not verify it independently. It applies to Stripe donations only — not to GIK — and is not a GracePoint endorsement. Do not represent it as a GracePoint verification, and do not rely on it in place of your own due diligence.

5. POD Circle

If you host or participate in a POD Circle:

  • Circle Hosts are solely responsible for independently vetting each organization they invite as a Circle Member;
  • Do not use Circle inventory visibility for any purpose other than coordinating GIK requests within the Circle;
  • Do not disclose another organization’s inventory information outside the Circle; and
  • Do not misuse Circle access to gain a commercial advantage.

6. Recipient Data and Privacy

Recipients are individuals receiving charitable aid. Their information warrants heightened care.

You may not:

  • Submit Recipient personal information to any Platform feature not designed to receive it, including Marketplace listings, Marketplace messages, or Circle communications;
  • Use Recipient data for marketing, solicitation, profiling, or any purpose unrelated to charitable distribution;
  • Disclose Recipient data to any party except as permitted by your agreement and applicable law;
  • Attempt to re-identify any individual from privacy-protected content, including Stories of Impact; or
  • Collect Recipient information without meeting all applicable consent and legal requirements.

You are solely responsible for all privacy, consent, notice, and compliance obligations with respect to data you submit to the Platform.

7. Fundraising and Charitable Conduct

If you use the Platform’s Fundraising capabilities:

  • You are solely responsible for charitable solicitation registration, donor disclosures, tax receipting, tax reporting, and the legality and use of funds raised;
  • You may not misrepresent your charitable status, the use of donated funds, or the impact of any donation;
  • You may not use the Platform to solicit donations you are not legally authorized to solicit; and
  • You may not represent that GracePoint endorses, verifies, guarantees, or is responsible for your fundraising.

GracePoint does not receive, hold, custody, pool, control, transfer, or disburse donated funds.

Separately, and whether or not you use any fundraising capability, GracePoint does not take title to, possession of, custody of, or control over donated goods.

8. Platform Integrity and Security

You may not:

  • Access the Platform other than through interfaces GracePoint provides, or exceed the access your agreement grants;
  • Share, sell, or transfer account credentials, or permit access by anyone who is not an Authorized User;
  • Attempt to gain unauthorized access to the Platform, any account, or any data;
  • Probe, scan, or test the vulnerability of the Platform, or breach or circumvent any security or authentication measure;
  • Interfere with or disrupt the Platform, including by overloading, flooding, or denial-of-service;
  • Introduce malware or any harmful code;
  • Use bots, scrapers, or automated means to access the Platform except as expressly permitted;
  • Reverse engineer, disassemble, decompile, decode, or translate the Platform, or attempt to derive, discover, reconstruct, extract, or replicate its source code, object code, or underlying logic, formulas, rules, configurations, workflows, processes, methods, models, structures, or technical components, by any means, including through analysis of Platform outputs — except to the limited extent such a restriction is prohibited by applicable law;
  • Use knowledge derived from the Platform to build or assist in building a competing product; or
  • Conduct benchmarking or competitive analysis of the Platform, or disclose the results of any such analysis.

Platform outputs. Platform-generated valuation references, identifications, and other outputs are tools that produce estimates and references only. Do not represent any Platform output as a certified appraisal, a final determination of value, or as tax, legal, or accounting advice. You remain responsible for reviewing outputs and making all final determinations.

9. Reporting Abuse

Report violations to support@gracepoint-solutions.com.

Include the organization involved, a description of the conduct, and any relevant detail (such as approximate date and Platform feature).

GracePoint does not monitor. GracePoint does not monitor, scan, or proactively review messages, listings, or other participant content. GracePoint has no obligation to monitor and no duty to detect, review, screen, or act upon any content absent a report. Reporting is how GracePoint learns about misuse.

No guarantee. GracePoint does not guarantee any particular investigation, outcome, response time, or remedy in response to any report. GracePoint’s decision to act on any report does not create an obligation to act on any other report or content, and does not constitute a general undertaking to monitor.

10. GracePoint’s Rights

Where GracePoint reasonably believes this AUP or an agreement has been violated, GracePoint may, in its sole discretion and without prior notice:

  • Remove or disable access to content;
  • Suspend or restrict access to any feature, including messaging or the Marketplace;
  • Suspend or terminate an account, subject to the applicable agreement; or
  • Take any action GracePoint deems appropriate, including cooperating with law enforcement or legal process.

GracePoint has no obligation to exercise any of these rights. Exercising or declining to exercise them in any instance does not waive GracePoint’s right to do so in any other instance.

GracePoint does not vet, screen, certify, verify, or approve any organization, and makes no representation or warranty regarding any organization on the Network. Each participant is solely responsible for its own due diligence before transacting with any other participant.

11. Changes to This AUP

GracePoint may update this AUP from time to time to address new features, new misuse patterns, or legal requirements. When GracePoint does:

  • The “Last Updated” date above will be revised;
  • For changes that materially expand your obligations or materially restrict your use, GracePoint will provide at least thirty (30) days’ advance notice by email to your account contact or by in-Platform notice; and
  • If you do not agree to a materially adverse change, you may terminate your agreement in accordance with its terms before the change takes effect. Continued use of the Platform after the change takes effect constitutes acceptance.

Non-material changes — clarifications, formatting, examples, and additions that do not expand your obligations — take effect on posting.

This AUP may be updated without amending any agreement. Each agreement incorporates this AUP by reference and this Section governs how updates take effect.
